Automotive Systems (W.E.T.), a publicly-traded German company located in Odelzhausen, Germany. The acquisition brings together the complementary business strengths of each company and will allow for improved customer responsiveness and product development.

Amerigon develops products based on its advanced, proprietary, efficient thermoelectric (TE) technologies for a wide range of global markets and heating and cooling applications. The Company's current principal product is its proprietary Climate Control Seat® (CCS®) system, a solid-state, TE-based system that permits drivers and passengers of vehicles to individually and actively control the heating and cooling of their respective seats to ensure maximum year-round comfort. CCS, which is the only system of its type on the market today, uses no CFCs or other environmentally sensitive coolants. Amerigon maintains sales and technical support centers in Southern California, Southeast Michigan, Japan, Germany, England and Korea. On February 28, 2011, Amerigon and our wholly-owned subsidiary Amerigon Europe GmbH entered into a Share Sale Purchase Agreement (the “SPA”) with shareholders to acquire W.E.T. Automotive Systems (W.E.T.), a publicly-traded German company located in Odelzhausen, Germany.
Under the terms of the agreement, Amerigon has agreed to purchase 76.6 percent of the voting shares at a price of euro 40 per share, or $56 per share. Concurrent with this transaction, Amerigon launched a tender offer for the remaining voting shares of W.E.T. at the same price. Based on the 3,040,000 voting shares in W.E.T., the transaction values W.E.T. at euro 121.6 million or $171.3 million. The euro 40 price for W.E.T. shares is a 52 percent premium over a volume-weighted average trading price of W.E.T.'s shares over the three months prior to the SPA of euro 26. Amerigon has secured all necessary financing in order to complete the transaction.
Simultaneous with the execution of the SPA, we and Amerigon Europe also entered into a Business Combination Agreement (the “BCA”) with W.E.T. setting forth the terms and conditions under which Amerigon Europe is required to launch a tender offer in Germany for all of the outstanding shares of W.E.T. (the “W.E.T. Tender Offer”) as well as the terms and conditions governing our and W.E.T.’s conduct prior to and after the closing of the W.E.T. Tender Offer.
Among other things, the BCA provides that W.E.T. shall continue to be operated as a separate business and remain a separate legal entity and subsidiary of Amerigon Europe, including following completion of the W.E.T. Tender Offer, unless certain conditions are satisfied. In addition, W.E.T. management shall remain substantially unchanged up to and until the occurrence of certain conditions specified in the BCA. Moreover, upon the occurrence of such conditions, the current chief executive officer of W.E.T. shall be appointed to the board of directors of Amerigon, subject to compliance with applicable law.
As of May 3, 2011, the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), relating to Amerigon’s previously announced acquisition of a majority of the voting shares of W.E.T. Automotive Systems AG, a German company (“W.E.T.”), has expired without further action by the Federal Trade Commission, thereby satisfying a condition of closing of the transaction. Amerigon and W.E.T. have also received regulatory approval from the Ukraine, which was also a condition to closing the transaction.
The purchase and the tender offer have the approval of the Supervisory Board of W.E.T. and of its Management Board.

Am 28. Februar 2011 trafen Amerigon sowie die hundertprozentige Tochtergesellschaft Amerigon Europe GmbH mit den Aktionären der W.E.T. Automotive Systems AG (W.E.T.) eine Vereinbarung zur Übernahme der Gesellschaft, (in Englisch „Share Sale Purchase Agreement“, kurz "SPA"). Bei der Gesellschaft handelt es sich um ein börsennotiertes Unternehmen mit Sitz in Odelzhausen, Deutschland.
Gemäß der Vereinbarung hat Amerigon zugestimmt, 76,6 Prozent der stimmberechtigten Aktien zu einem Preis von 40,00 Euro bzw. 56,00 US-Dollar je Aktie zu erwerben. Zeitgleich startete Amerigon mit dieser Transaktion ein Übernahmeangebot für die restlichen stimmberechtigten Aktien der W.E.T. zum gleichen Preis. Basierend auf 3.040.000 stimmberechtigter Aktien der W.E.T., entspricht die Transaktion einem Wert der W.E.T. von 121,6 Millionen Euro oder 171,3 Millionen US-Dollar. Der Preis von 40,00 Euro je Aktie beinhaltet eine Prämie von rund 52 % auf den volumengewichteten Durchschnittskurs der Aktien von W.E.T. während der letzten drei Monat vor dem SPA (26,00 Euro). Seitens Amerigon sind alle notwendigen Maßnahmen zur Finanzierungen der Transaktion getroffen und gesichert.
Zeitgleich zur Abwicklung der “SPA“, haben wir und die Amerigon Europe GmbH mit W.E.T. in einem sogenannten „Business Combination Agreement“, kurz „BCA“ die notwendigen Voraussetzungen zur Übernehme der übrigen Aktien durch die Fa. Amerigon Europe GmbH festgelegt. Außerdem wurde in dem BCA die Verhaltensweise der Parteien vor und nach Abschluss des Übernahmeangebots festgehalten.
Die „BCA“ definiert unter anderem, dass W.E.T. nach Abschluss des Übernahmeangebots und unter Erfüllung bestimmter Voraussetzungen, weiterhin als eigenständiges Unternehmen agieren sowie als eigenständige juristische Person und Tochtergesellschaft der Amerigon Europe GmbH weiter bestehen soll. Darüber hinaus soll das W.E.T. Management bis zur Erfüllung bestimmter Voraussetzungen, die in der BCA festgelegt sind im Wesentlichen unverändert bestehen bleiben.
Außerdem soll der derzeitige Geschäftsführer (in Englisch „Chief Executive Officer“, kurz „CEO“), vorbehaltlich der Einhaltung der geltenden Rechtslage, in den Verwaltungsrat von Amerigon einberufen werden.
Wenn zum 3. Mai 2011, die Wartezeit nach dem „Hart-Scott-Rodino Antitrust Improvements Act“ (kartellrechtliche Prüfung) von 1976 in geänderter Fassung ("HSR Act"), in Bezug auf die von Amerigon im Vorfeld angekündigten Übernahme der Aktienmehrheit der W.E.T. Automotive Systems AG, einem deutschen Unternehmen, ohne weitere Maßnahmen durch die Kartellbehörde abgelaufen ist, dann sind alle Voraussetzungen für die Transaktion erfüllt.
Amerigon und W.E.T. haben ebenfalls die Genehmigung aus der Ukraine erhalten, was eine Bedingung für den Abschluss der Transaktion war.
Der Kauf und das Übernahmeangebot haben die Zustimmung des Aufsichtsrats und Vorstand der W.E.T.
